With the purchase of 45,200 shares at $17.25 to $17.50 between August 14 and August 23, Mr. Sherwood has raised his stake in the Bermuda-registered company to 13.47 percent.

The acquisition of class A common shares is according to a schedule 13D filed recently with the Securities and Exchange Commission.

Mr. Sherwood now holds the equivalent of 1.31 million Sea Container shares.

His stake includes 954,696 class B shares that are convertible into an equal number of class A shares.

In the company's second quarter earnings report, Mr. Sherwood said 1995 would be the company's second best year.
