All of the shares being offered are restricted shares owned by the original shareholders of the company. The number of shares to be offered have not yet been determined. Mid Ocean will not receive any of the proceeds from the offering, and the total number of shares outstanding will not be affected.

J.P. Morgan Securities Inc. and Donaldson, Lufkin & Jenrette Securities Corporation will co-manage the underwriting group.
