Premia Holdings, the Bermudian-based legacy reinsurance group, has sold Alan Gray, its Boston insurance consulting business, to Lewis & Ellis, an American-based insurance services platform backed by Novacap, a private-equity firm.

The transaction, which closed on August 31, includes Alan Gray LLC and AG Risk Management Inc. Financial terms were not disclosed.

Alan Gray provides claims consulting, litigation support, forensic accounting, legal expense management and run-off and estate administration services to re/insurers and law firms.

Bill O’Farrell, Premia’s chief executive, said Lewis & Ellis brought complementary capabilities and a shared commitment to client service.

“We believe this combination provides a strong foundation for Alan Gray’s next chapter, giving its professionals broader resources to support their clients,” he said.

Premia, which operates in Bermuda, the United States, the United Kingdom and continental Europe, specialises in discontinued or legacy non-life insurance and reinsurance portfolios. The company said it has assumed more than $5 billion of insurance liabilities through reinsurance transactions and acquisitions.

Lewis & Ellis said the acquisition was its third add-on deal since partnering with Novacap in 2023, following combinations with Huggins Actuarial Services and Griffith, Ballard & Co.

The Dallas-based company said bringing Alan Gray into the group would add complex claims, litigation and legacy-insurance expertise to its actuarial and regulatory services.
