Marex Group: plans to move holding company domicile to Bermuda

Marex Group, a financial-services company based in Britain, plans to move its holding company’s legal domicile to Bermuda.

The company outlined the plan in an investor day in New York, when it said it planned to reorganise into four regional subgroups under a new Bermuda parent.

Marex, which is listed on New York’s Nasdaq Stock Market, offers services including market making, clearing, execution, liquidity, and hedging services to clients. Headquartered in London, it acts as a principal and agent in energy, agricultural, metal, and financial markets.

The company said under the reorganisation its tax residence, operations, services and financing arrangements would remain largely unchanged.

Basing the holding company in Bermuda is aimed at simplifying its corporate and regulatory structure, cutting administrative costs and better aligning “Bermuda’s US-style corporate law with its Nasdaq listing”, Marex said.

The announcement came as Marex forecast a strong first quarter, guiding revenue between $667 million and $697 million and adjusted profit before tax of $140 million to $150 million, sharply higher than the same period in 2025.

The group said extreme market volatility and growing clearing balances, averaging about $16 billion, showcased the resilience of its model, as it updated investors at an Investor Day in New York.

Shares of Marex jumped more than 5.9 per cent on the Nasdaq on Friday on volume that was more than triple the average volume. The company has a market capitalisation of a little more than $3 billion.
