Veritas to seek secondary listings in growth strategy

Veritas Group Limited, the BSX-listed exempted company operating at the intersection of innovation and sustainability, is to enhance liquidity for its investors by completing secondary listings in Canada, South Africa, and the United States as it seeks to make inroads in a $200 billion industry.

In a letter to shareholders filed with the BSX, chief financial officer Alfred Minors wrote: “This expansion will commence once our audits are complete, which we anticipate this happening over the next 60 days. (End of August 2023)

“This step is a significant milestone in our growth strategy and will provide more opportunities for our investors.”

Since December, Veritas has an entirely new management team.

Mr Minors is based in the company’s Bermuda headquarters, together with new board member Michael Markham.

The holding company for the marketing of the company’s flagship product, Mineral-Gro’s Liquid TNT patented organic nano-fertiliser, has established Stephen Smoot as Veritas Group’s new US CEO and Albert Niekerk as CEO for South Africa and chief technology officer.

Phillip H. Neilson has also joined the team as a US-based board member and corporate attorney.

In an earlier filing with the BSX, Mr Smoot said: “As we enter the next phase of our expansion, we’re pleased to have a leading team that is dedicated to utilising the latest patented and proven technologies to produce organic fertiliser using nano-technology.

“Our stand-alone modularised biomass generators convert cellulose-rich biomass into biogas and other bio products, and Mineral-Gro’s Liquid TNT, together with Veritas’ Terra Preta soil, is an ideal solution for incredible plant growth without the use of harmful chemicals.”

He added that Veritas’ generators help to solve the energy and waste problem with technology that converts bio-matter to energy.

In his letter to shareholders, Mr Minors wrote: “The new team has swiftly embraced their roles and has already implemented new strategic directions, making significant strides in our business model.

“One such stride is the addition of an organic fertiliser production and distribution arm. This new product line is not just a boost to our portfolio but a significant contributor to environmental conservation.

“The ‘Climate Smart’ fertilisers are rich in 78 trace minerals with a recipe that promotes healthier soils and higher crop yields, and crucially, they help prevent the damaging effects of algae blooms and contamination caused by excessive nitrogen (N), phosphorus (P), and potassium (K) commonly associated with traditional fertilisers.”

Mr Minors added: “This initiative positions us in a rapidly growing global market estimated to be worth $200 billion. Our projections indicate that we can capture a considerable portion of this market over the next six months.”

He said the new management “has also focused on ensuring that we meet our regulatory obligations.

“To this end, we are in the process of finalising the audits for the last two years. We believe maintaining high standards of financial accountability and transparency will be instrumental in solidifying trust with you, our valued investors, and other stakeholders.”
