Fairchild Investments Ltd. will continue its Bermuda registration as part of its reorganisation.

The reorganisation is in connection with the proposed acquisition of all outstanding shares of Springbend Investment Company Ltd.

Springbend is a Hong Kong company with 75 percent interest in Anhui Stone Pharmaceutical Company Ltd., a Sino-foreign equity joint venture company which manufactures vitamin C and other related products in China.

The reorganisation also includes an increase in the authorised capital of the company, an increase in the number of directors and a private placement of 26 million common shares and warrants to purchase commons shares as well as the issue of nine million performance shares pursuant to the policies of the Vancouver Stock Exchange.

The company also approved a name change from incorporated to limited. The moves were approved by shareholders at a meeting held on July 22.
