Ferrero quits Lazard's board

NEW YORK (Bloomberg) — Dominique Ferrero, former chief executive officer of French investment bank Natixis SA, resigned from the board of Lazard Ltd., the investment bank led by Bruce Wasserstein.

Bermuda-based Lazard made the announcement in a regulatory filing yesterday. Ferrero, a member of Lazard's board since March 2008, didn't provide a reason for his decision in a letter announcing his resignation.

Ferrero received $212,630 in stock awards and other compensation for serving on Lazard's board last year, according to data compiled by Bloomberg. He is a board member at Rueil- Malmaison, France-based Vinci SA, the world's biggest construction company, and is an adviser to Francois Perol, Natixis's chairman.

Natixis is Lazard's largest shareholder, owning 9.2 percent of outstanding shares, according to Bloomberg data. As part of the French bank's investment, Lazard agreed to nominate one person designated by Natixis to its board, according to a proxy statement.

Ferrero was replaced last month as Natixis CEO by Laurent Mignon, 45, a managing partner at Oddo & Cie. Natixis will receive 1.5 billion euros ($2.0 billion) from its main shareholders, plus 2 billion euros from the French government after the bank posted a first-quarter loss of 1.84 billion euros last week.

Last month, Lazard posted an unexpected first-quarter loss on a decline in takeovers and costs related to previously announced job cuts.

Lazard spokeswoman Judi Mackey declined to comment.
