Waste management company announces expansion plans

Bermuda resident and Canadian millionaire Mr. Michael DeGroote, has announced the acquisition of one company and plans to obtain another.

Republic, on whose board Mr. DeGroote serves as vice chairman, has acquired Kertz Security Systems, Inc. and its affiliates, the company said.

Mr. DeGroote's ownership of Republic is through his Bermuda holding company MGD Holdings.

Since his 1990 sale of Canadian waste management company Laidlaw, Mr. DeGroote has resided in Bermuda.

Republic acquired all Kertz's outstanding common stock in exchange for 1,090,000 shares of Republic common stock.

Republic also said it had entered into an agreement to acquire all the outstanding common stock of Southland Environmental Services, Inc. in exchange for 2.6 million shares of Republic common stock.

The companies will add about $14 million and $30 million respectively to Republic's 1995 revenue, said Republic.

The Southland transaction is expected to close in October.

"This (Southland) acquisition is the fist step for the new management of Republic in acquiring profitable companies in growing markets in the solid waste industry,'' Republic chairman and CEO Mr. Wayne Huizenga.

Kertz, established in 1949, provides electronic security monitoring and maintenance in the south Florida, Tampa and Orlando areas while Southland provides solid waste collection services in northeast Florida.

Security Distributing and Marketing, in its 1995 top 100 list, placed Kertz as the 22nd largest provider of electronic security services in the US.

Republic Waste Industries, Inc. recently raised $70 million through a private placement of 5.4 million common shares at $13.25 per share.

The move was one of a series to generate additional capital for the company.

Prior to the private placement, Republic had announced the sale of one million shares to WMX Technologies Inc.'s co-founder and head of Blockbuster Entertainment Corp, Mr. Huizenga.
